These Terms of Use govern your access to and use of the POPPIFY mobile application and related services. Where Bhutanese statute is silent on a particular marketplace-platform question, these Terms follow internationally accepted marketplace platform conventions as an operating standard.
1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the POPPIFY mobile application and related services (the "Platform"), operated in the Kingdom of Bhutan. By creating an account or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, you may not use the Platform.
We may update these Terms from time to time. Material changes will require re-acceptance before you can continue using the Platform.
2. Eligibility
To use POPPIFY, you must be at least 18 years old and capable of entering into a legally binding agreement under applicable law. By creating an account, you represent that you meet these requirements and that all information you provide is accurate, current, and complete.
Each person may hold one Customer account and, separately, one Business account, each tied to a distinct email address. Creating multiple accounts to evade a suspension, manipulate reviews, or abuse promotions is prohibited.
3. Customer Accounts
A Customer account lets you browse verified businesses, save businesses and products, place orders, pay businesses directly, chat with businesses, track order status, and leave reviews after a completed purchase. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access to your account.
4. Business Accounts and Verification
A Business account lets you create a storefront to list products and services, receive and fulfill orders, communicate with customers, and manage payments received directly from customers.
Bhutan CID Requirements. To be verified, a business must submit the owner's Citizenship Identity Document (CID) number and a copy of the CID. This confirms the business is operated by a real, identifiable individual.
Business License Requirements. A business must submit its business registration number and a copy of a valid business license, and keep this information current. Operating under an expired, suspended, or fraudulent license is a material breach of these Terms and grounds for immediate suspension.
Verification is performed by POPPIFY administrators and may be approved, rejected, or placed under review. POPPIFY may request additional information or documentation at any time and may re-verify a business periodically. A storefront is not visible to customers until verification is approved. Submitting false, forged, or misleading verification information is prohibited and will result in permanent account termination.
5. User Responsibilities
As a user of the Platform (Customer or Business), you agree to:
- Provide accurate information and keep it up to date
- Use the Platform only for lawful purposes
- Treat other users respectfully in chat, reviews, and all interactions
- Not attempt to circumvent, disable, or interfere with security features of the Platform
- Not use the Platform to transmit malware, spam, or unsolicited commercial messages
- Not scrape, harvest, or misuse other users' data
- Not impersonate another person or business
- Comply with all applicable Bhutanese laws and regulations relevant to your use of the Platform
6. Business Responsibilities
Businesses additionally agree to:
- Only list products and services they are legally permitted to sell in Bhutan
- Accurately describe products, services, pricing, and availability
- Honor accepted orders in good faith and communicate promptly about delays, unavailability, or issues
- Verify customer payments in good faith before marking an order as paid, and not falsely confirm payment that was not received
- Respond to customer messages and order-related inquiries in a timely manner
- Maintain accurate business hours, contact information, and fulfillment settings
- Comply with all licensing, tax, consumer-protection, and product-safety obligations applicable to their business under Bhutanese law
POPPIFY does not review or approve individual product listings before they go live and is not responsible for verifying the accuracy of a business's claims about a specific product beyond the identity/license verification described in Section 4.
7. Marketplace Rules
POPPIFY connects customers and businesses; it is not a party to the sale itself. All product and service transactions are agreements directly between the customer and the business. This means:
- Pricing, availability, order acceptance, and fulfillment are controlled by the business
- Payment is made directly from customer to business via bank transfer, not through POPPIFY
- POPPIFY does not guarantee the quality, safety, legality, or delivery of any product or service listed by a business
POPPIFY may, at its discretion, remove listings, suspend accounts, or take other action to enforce these Terms and protect the marketplace, but doing so does not make POPPIFY a party to any individual transaction.
8. Chat Behaviour
In-app chat exists to support legitimate order and product communication between customers and businesses. You may not use chat to harass, threaten, defraud, or send illegal, obscene, or abusive content, to solicit payment information outside the intended payment-proof workflow, or to conduct transactions intended to circumvent these Terms (for example, arranging an off-platform sale to avoid platform rules). POPPIFY may review reported messages to investigate abuse.
9. Reviews and Ratings
Only customers with a completed order for a given business may leave a review of that business. Reviews must reflect a genuine experience and may not be fabricated, incentivized in exchange for payment, or submitted by a business about itself or a competitor. A customer may edit their review within 48 hours of posting. Businesses may publicly respond to reviews but may not delete them. POPPIFY may remove a review that violates these Terms or applicable law, including reviews found to be fake after investigation (see also "Report Fake Reviews" in Help & Support).
10. Fraud Prevention
POPPIFY actively works to prevent fraud, including fake businesses, fraudulent payment claims, fake reviews, and scam listings. We may use verification checks, manual review, and user reports to detect suspicious activity. Users must promptly report suspected fraud through the in-app Report feature or Help & Support. Engaging in fraud — including submitting forged verification documents, falsely claiming payment was made or received, or creating fake accounts to manipulate reviews or ratings — is a material breach of these Terms and may be reported to relevant Bhutanese authorities where appropriate.
11. Illegal Products, Counterfeit Goods, and Prohibited Listings
Businesses may not list, advertise, or sell products or services that are illegal under Bhutanese law, counterfeit or infringing goods, or items prohibited by Platform policy, including but not limited to: goods that infringe intellectual property rights, controlled or regulated substances not properly licensed, weapons where prohibited, and goods obtained through theft or fraud. POPPIFY will remove listings that violate this section upon discovery or report and may suspend or terminate the responsible business account.
12. Intellectual Property and Copyright
The POPPIFY name, logo, app design, and platform software are the property of POPPIFY and may not be copied, reproduced, or used without permission. Content you upload (product photos, business descriptions, reviews, chat messages) remains your property, but by uploading it you grant POPPIFY a non-exclusive, royalty-free license to host, display, and distribute that content as necessary to operate the Platform (for example, showing a product photo on a storefront and in search results).
You may not upload content that infringes another party's copyright, trademark, or other intellectual property rights. If you believe content on the Platform infringes your intellectual property rights, submit a Report Copyright Violation request through Help & Support with details sufficient to identify the content and your rights in it. We will review and remove infringing content where appropriate.
13. Acceptable Use
In addition to the responsibilities in Sections 5 and 6, you may not: reverse-engineer or attempt to extract the source code of the Platform; use automated tools (bots, scrapers) to access the Platform without permission; interfere with other users' use of the Platform; upload viruses or malicious code; or use the Platform in any way that violates applicable law.
14. Reporting Abuse
If you encounter a bug, fraud, a scam, an illegal business, a fake review, a copyright violation, or any other violation of these Terms, please report it through Profile → Help & Support, or by contacting us directly (Section 20). Reports are reviewed by POPPIFY administrators, who may request additional information, take enforcement action, or refer serious matters to appropriate Bhutanese authorities.
15. Account Suspension and Termination
POPPIFY may suspend or terminate an account, temporarily or permanently, for violation of these Terms, submission of fraudulent verification information, repeated policy violations, illegal activity, or to protect the safety and integrity of the Platform. Where practical, we will notify the affected user of the reason for suspension. A user may appeal an account suspension by contacting support with an explanation and any supporting evidence; appeals are reviewed by POPPIFY administrators, whose decision is final.
You may request to close your own account at any time via the Delete Account option in your Profile. Deletion requests are reviewed and approved by a POPPIFY administrator, after which your account is deactivated and your personal details anonymized, subject to the data retention terms in our Privacy Policy.
16. Marketplace Disclaimer
POPPIFY acts solely as a technology platform connecting businesses and consumers and is not a party to the underlying sales contract between a customer and a business, except where applicable law requires otherwise. POPPIFY does not manufacture, own, sell, resell, or take title to any product or service listed on the Platform. POPPIFY makes no warranty regarding the quality, safety, legality, or fitness for purpose of any product or service offered by a business, and does not warrant that the Platform will be uninterrupted, error-free, or secure at all times.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
17. Payments
All payments for orders are made directly between the customer and the business via bank transfer (typically QR-code based) or another method the business accepts. POPPIFY does not process, hold, or have custody of any funds exchanged between customers and businesses, and is not responsible for a business's failure to deliver goods or services after payment, or a customer's failure to pay. See our Refund Policy for how payment disputes and refunds are generally handled.
18. Refund Responsibilities
Because POPPIFY does not process payments, refunds are generally the responsibility of the business involved in a transaction, in line with our Refund Policy. POPPIFY may assist in facilitating communication between a customer and business regarding a refund dispute and may take enforcement action against a business that engages in a pattern of bad-faith refusal to resolve legitimate refund claims, but POPPIFY is not itself obligated to issue a refund for a transaction it was not a party to.
19. Limitation of Liability
To the fullest extent permitted by applicable law, POPPIFY and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Platform, any transaction between a customer and a business, or any content posted by another user. POPPIFY's total liability arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the amount of platform fees, if any, you paid to POPPIFY in the twelve months preceding the claim, or (b) an amount required by applicable law.
Nothing in these Terms limits any liability that cannot be excluded or limited under applicable Bhutanese law.
20. Dispute Resolution
If a dispute arises between you and POPPIFY, we encourage you to first contact us at support@poppifyapp.com or via WhatsApp at +1 672-971-9002 so we can attempt to resolve it informally. Disputes between a customer and a business regarding a specific order (including payment, quality, or delivery issues) should first be raised directly with the business through in-app chat and, where relevant, through a Report or the Refund Policy process; POPPIFY may assist but is not obligated to act as arbitrator of such disputes.
21. Governing Law
These Terms are governed by and construed in accordance with the laws of the Kingdom of Bhutan, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of Bhutan.
22. Updates to These Terms
We may revise these Terms from time to time to reflect changes in our services, business practices, or applicable law. When we make a material change, we will update the "Last updated" date at the top of this document and, where required, ask you to re-accept the updated Terms before continuing to use the Platform.
